Platform Compliance & Protocol Documentation.
Last updated: September 24, 2026 — Version 0.2
These Terms and Conditions ("Terms") govern access to and use of the Pikop mobile applications, website, and related services (together, the "Platform"), operated by Awa Foods & Groceries, a company registered in Nigeria ("Pikop", "we", "us", "our").
By creating an account, browsing, ordering, listing products, or providing fulfillment services through the Platform, you ("you", "User") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Pikop serves four categories of User, each with additional terms specific to their role: Customers, Fulfillers/Agents, and Merchants (further divided into Food, Groceries, and Shop Merchants).
You must be at least 18 years old to create a Pikop account in any capacity. Pikop does not knowingly permit account creation by, or collect the personal data of, individuals under 18.
Account types are distinct and separately onboarded: Customer, Fulfiller/Agent (Foot Agent/Cyclist, Rider, or Driver), and Merchant (Food, Groceries, or Shop). A single individual may hold more than one account type but must complete the distinct onboarding and verification process for each.
Fulfiller and Merchant accounts require identity and/or business verification before activation, as set out in Sections 6 and 7.
4.1 Placing Orders. Customers may request Dispatch services directly, or order from Merchants through the Food, Groceries, or Shop modules. A single, unified checkout applies to Marketplace orders, combining item cost, any applicable fees, and delivery into one payment, which automatically generates the corresponding Dispatch mission.
4.2 Payment. Payment is processed through Pikop's payment partner, Paystack. Customers may pay by card, bank transfer, USSD, or other channels made available at checkout, or by COD where the Merchant or dispatch counterpart accepts it.
4.3 Sender, Payer, and Receiver May Differ. An order's Payer, Sender, and Receiver may be three different people — for example, where a Customer pays for an item delivered to a family member. Where a distinct Receiver is specified, that Receiver, not the Payer, is the party who confirms delivery under Section 5.
4.4 Ratings. Customers may rate Fulfillers following a completed mission. Ratings contribute to a Fulfiller's public verification tier (Basic, Standard, Elite, or Super) and must be submitted honestly and in good faith.
5.1 Purpose. COD exists to guarantee that an item successfully reaches its Receiver and is as described, addressing the common concern in Nigerian e-commerce that a buyer who pays upfront may receive nothing, or that a seller who releases goods before payment may not be paid. Pikop holds the Payer's funds in escrow between payment and confirmed, correct delivery.
5.2 Release of Funds. Funds release to the Seller when the Receiver explicitly confirms both that the item was received and that it matches what was ordered. Mere proof of physical handoff (such as a delivery code entered by the Fulfiller) does not by itself trigger release — an explicit, separate confirmation from the Receiver is required, except where a Negotiated Release Term (Section 5.4) has been agreed.
5.3 End of Pikop's Obligation. Once the Receiver has explicitly confirmed receipt and correctness, or an applicable grace period has lapsed without a dispute being raised, Pikop's obligation under the COD guarantee ends and funds are released. Pikop does not mediate claims arising after this point; any such issue is a matter between the Payer/Receiver and the Seller directly.
5.4 Negotiated Release Terms. A Seller may offer, and a Payer must explicitly accept before payment, a release term governing how quickly funds release after delivery: Immediate (on the Receiver's explicit confirmation, never on delivery-proof alone), Standard (the default grace-period model), or Extended (a longer grace period). The Payer's acceptance of the chosen term is recorded and may be relied upon by Pikop as evidence of what was agreed.
5.5 The COD Platform Fee. A 5% fee, calculated on the item price only (never the delivery fee), applies to every COD order and is added to the amount the Payer pays at checkout. This fee is not deducted from the Seller's payout.
5.6 Guest (Non-App) Payers. Where a Receiver or Payer does not use the Pikop app, Pikop may send payment links, delivery codes, and live-tracking links by SMS. Pikop does not operate a cash-collection model under any circumstances — every COD order is prepaid into escrow before pickup occurs.
6.1 Categories. Fulfillers register under one of three categories, each with distinct verification requirements:
6.2 Public Profile. A Fulfiller's name, photo, category, vehicle details (where applicable), rating, and verification tier are visible to Customers whose missions they accept. Licence numbers, insurance details, identity document numbers, date of birth, and home address are never disclosed publicly.
6.3 Mission Acceptance and Conduct. Fulfillers see the mission type (delivery-only or delivery plus COD) and key details before accepting a mission. Once accepted, a mission remains assigned to the Fulfiller unless explicitly and deliberately cancelled; ordinary navigation within the app does not remove an accepted mission.
6.4 Earnings and Payout.* A Fulfiller's earnings consist of their share of the delivery fee for each completed mission: Pikop retains a 20% Dispatch Commission, and the Fulfiller receives the remaining 80%. Fulfiller earnings release upon confirmed completion of the mission and are *independent of the COD escrow status of the underlying order — a dispute between Payer and Seller over an item's correctness does not delay, reduce, or otherwise affect a Fulfiller's earnings for having completed the delivery itself. Payout requires valid, verified bank account details on file.
7.1 Categories and Commission.* Merchants register under Food, Groceries, or Shop, with a unified 5% Marketplace Commission deducted from the Merchant's payout on every sale across all categories (*Food 5%, Groceries 5%, Shop 5%). Commission rates are set by Pikop and may be updated from time to time on the Admin Panel; the rate applied to a given order is the rate in effect at the time that order was placed, and is not altered retroactively.
7.2 Onboarding and Verification. Merchant onboarding requires (a) verification of the individual contact person operating the account, and (b) verification of the business itself, including business name, category, address, and bank details for payout. A NAFDAC registration number is requested only where the Merchant's category involves regulated consumables (packaged food, cosmetics, or similar); it is not required for Merchants outside those categories.
7.3 Operating Hours. Merchants configure their daily operating opening and closing hours in business settings. Storefront listings dynamically display store status, and order requests outside operating hours are subject to scheduled next-opening fulfillment.
7.4 COD Acceptance. Each Merchant elects, during onboarding and adjustable thereafter in account settings, whether to accept COD orders. Where a Merchant does not accept COD, only prepaid checkout is offered to Customers for that Merchant's products.
7.5 Product Listings. Merchants are solely responsible for the accuracy of their product listings, including price, description, and availability. Listing prohibited, counterfeit, or unsafe items is a material breach of these Terms and grounds for immediate suspension.
All rates above reflect current active platform fees as of this version and are administratively configurable on the Admin Panel; the version in effect at the time of a given order governs that order.
Users must not use the Platform to:
Violation may result in suspension or termination of the offending account, in addition to any other remedy available to Pikop.
Disputes on COD orders raised within the applicable window (Section 5) are reviewed by Pikop, which may resolve a dispute by releasing funds to the Seller or refunding the Payer. Pikop's decision on a dispute is made in good faith based on the evidence available but does not affect either party's other legal rights.
Refunds are issued to the original payment method used at checkout. Delivery-only missions may be cancelled prior to Fulfiller pickup; cancellation after pickup may be subject to a partial charge reflecting work already performed.
The Pikop name, logo, app design, and underlying software are the property of Pikop or its licensors. Users are granted a limited, non-transferable licence to use the Platform for its intended purpose and acquire no other rights in it.
The Platform is provided "as is." Pikop facilitates connections between Customers, Merchants, and Fulfillers but is not itself the seller of Marketplace products (other than any Pikop-operated listings, if applicable) nor the employer of Fulfillers, who provide services as independent contractors unless otherwise stated.
To the maximum extent permitted by Nigerian law, Pikop's aggregate liability to any User arising from use of the Platform is limited to the fees actually paid by that User to Pikop in the three (3) months preceding the claim. This limitation does not apply to Pikop's COD escrow obligations under Section 5, fraud, or any liability that cannot be excluded by law.
Users agree to indemnify Pikop against claims, losses, or damages arising from their breach of these Terms, their listed products (for Merchants), or their conduct while providing fulfillment services (for Fulfillers), except to the extent caused by Pikop's own negligence or breach.
Pikop may suspend or terminate any account for breach of these Terms, suspected fraud, failed or lapsed verification, or at its reasonable discretion with notice where practicable. Users may close their own account at any time; amounts already held in escrow or pending Wallet release are settled according to the applicable order terms before final closure.
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation, and failing that, through arbitration under the Arbitration and Mediation Act 2023.
Pikop may update these Terms from time to time. Material changes will be notified through the app or by email/SMS before taking effect. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
